This agreement (“Agreement”) containing the terms and conditions (“Terms and Conditions”, “Terms”) governs the relationship between you (“User”, “You”) and Sound Procurement B.V. (“Us”, ‘We”, “Our”), together the (“Parties”).

Please read these Terms and Conditions carefully before using the https://soundnegotiator.com/ website, and the Sound Negotiator applications including the Negotiation Assistant (“Website”, “Service“, “App”) operated by Sound Procurement B.V, established at Churchillweg 29B 6707JA, Wageningen, the Netherlands.

Conditions of use

By using this website and its applications, you certify that you have read and reviewed this Agreement and that you agree to comply with its Terms. If you do not want to be bound by the Terms of this Agreement, you are advised to leave the website accordingly. We only grant use and access to this website, its products, and its services to those who have accepted its Terms.

Age restriction

You must be at least 18 (eighteen) years of age before you can use this website and/or app. By using this website, you warrant that you are at least 18 years of age and you may legally adhere to this Agreement. We assume no responsibility for liabilities related to age misrepresentation.

Security

We will do our utmost to provide a secure website and app to keep all data protected against loss and/or theft. Industry standards are met or exceeded. We do not guarantee that all data is protected under all circumstances.

Use of the website and/or app

The User will not use the Sound Negotiator website or Sound Negotiator app (or have it used) for any purpose for which it is not intended and will refrain from sending unsolicited and/or unsolicited messages to other users. The User is not permitted to initiate or continue processes that it can reasonably suspect may be a hindrance to other users and/or adversely affect the use of the Sound Negotiator app and/or website.
The User is not permitted to use the Sound Negotiator app and/or website, or have it used by others, for incorrect, unlawful and punishable conduct. This will, among other things, be the case if the use (also) relates to:

material/data that is contrary to any law, regulation and/or the terms and conditions;
the unlawful or criminal dissemination of non-public data;
the distribution of punishable texts and images and sound material and/or material that in our opinion is misleading and/or that violates good morals/taste and/or public order;
material/data that infringes intellectual property rights and/or privacy rights and/or that violates other of our rights and/or third parties;
computer access breach (“hacking”);
material/data that refers to the provision of illegal services or services that may in any way cause damage to the property of others;
the destruction, damage or rendering unusable of systems or automated works and software of others.

Use of the Negotiation Assistant

The digital Negotiation Assistant is an AI-powered bot that utilizes Large Language Models. The output generated may be incorrect and we cannot be held liable if incorrect information is provided. Output does not necessarily reflect our views and/or opinions. The User is kindly requested to not provide personal information to the app. We have a Data Processing Agreement in place with the company providing the Large Language Models to guarantee compliance with GDPR and other legal requirements. The data entered by the User will not be used to train any models. Copying, disseminating or modifying the app and/or bot is not permitted.

Fair Use Policy

We have a Fair Use Policy in place for using the app. The User may not vary from the average usage in a disproportionate manner. We are entitled to restrict usage and request the Client to purchase a different usage plan if excessive usage occurs.

Updates and changes

We are entitled to adjust, change and/or update the website and/or Sound Negotiator app, in part or in whole.

User accounts

As a User of this website and/or app, you may be asked to register with us and provide private information. You are responsible for ensuring the accuracy of this information, and you are responsible for maintaining the safety and security of your identifying information. You are also responsible for all activities that occur under your account or password. An account is always personal and cannot be transferred to a third party. If you think there are any possible issues regarding the security of your account on the website, inform us immediately so we may address them accordingly. We reserve all rights to terminate accounts, edit or remove content and cancel orders at Our sole discretion.

Data

The use of (personal) data obtained by you may only be used by all parties for the purpose for which they were provided. It is not permitted to process any data for other purposes, including – but not limited to – any form of unsolicited communication (spam). The User is solely responsible and liable for the data and thus guarantees that the data is up to date, correct and does not violate any applicable laws and regulations, and is in line with intellectual property rights. We are not responsible, liable nor able to guarantee that any data is correct, current, suitable, complete or not unlawful. We reserve the right to change, refuse and/or remove material/data because the material/data is not in line with the above provision. We acknowledge that the intellectual property of User data is theirs and remains with them.

Intellectual property

You agree that all materials, products, and services provided on this website are our property, our affiliates, directors, officers, employees, agents, suppliers, or licensors including all copyrights, trade secrets, trademarks, patents, and other intellectual property. You also agree that you will not reproduce or redistribute our intellectual property in any way, including electronic, digital, or new trademark registrations. You grant us a royalty-free and non-exclusive license to display, use, copy, transmit, and broadcast the content you upload and publish. For issues regarding intellectual property claims, you should contact the company in order to come to an agreement.

Availability

We make every effort to offer optimum availability for the website and Sound Negotiator app.

Applicable law

By visiting this website, you agree that the laws of the Netherlands, without regard to principles of conflict laws, will govern these Terms and Conditions, or any dispute of any sort that might come between us and you, or its business partners and associates.

Disputes

Any dispute relating in any way to your visit to this website and/or usage of the app or to products you purchase from us shall be arbitrated by a federal court in the Netherlands and you consent to exclusive jurisdiction and venue of such courts. Arbitration cannot take place before the parties have tried to resolve the dispute amicably.

Indemnification

We only facilitate and are therefore in no way responsible for the accuracy, suitability and completeness of the data, nor for any actions or omissions of the User in connection with the Sound Negotiator app. We are not a party in possible agreements between the User and other users or providers. Therefore, we are neither responsible nor liable for the mutual fulfilment of obligations between the user and other users or providers, including the authority to enter into agreements, the fulfilment of any payment obligation, and the correct execution of the work to be performed.
You agree to indemnify us and our affiliates and hold us harmless against legal claims and demands that may arise from your use or misuse of our services. We reserve the right to select our own legal counsel.

Confidentiality

Parties will observe strict confidentiality with regard to organizational, business, product, data or platform information. Parties impose this obligation on their employees and on third parties engaged by them.

Invalidity

If any provision of the agreement is declared invalid or is annulled, the other Terms and Conditions will remain valid. We will replace the provision, whereby the scope of the invalid/voided provision will be taken into account.

Limitation on liability

We are not liable for any damages that may occur to you as a result of your misuse of our website. We are not liable for:

indirect damage, including consequential damage
lost revenue/profit and/or missed savings
damages/costs due to business interruption
damage/loss of Data
damage caused by third parties

We reserve the right to edit, modify, and change this Agreement at any time. We shall let our users know of these changes through electronic mail. This Agreement is an understanding between us and you, and this supersedes and replaces all prior agreements regarding the use of this website.

Privacy policy

This privacy statement describes how we collect and process your personal data when using the services Sound Negotiator is offering. We hold the role of data controller with regards to the processing of personal data described in this privacy statement.

1. Whose personal data do we process?

This privacy statement describes our processing of your personal data.

2. Purpose, Personal data categories and legal basis

In the following, we will specify the purpose of the processing of personal data, which categories of personal data we process, and the legal basis for such processing.

I. Processing of personal data in connection with registration in the Sound Negotiator app

In connection with the registration and administration of your account, we will process the following of your personal data:

Name
E-mail address
Company name
Position

Personal data registered when setting up a user profile will mainly be used for the completion of a purchase or for providing a service based on the information registered. We will, for example, use your e-mail address for the purpose of providing notifications and to communicate with you.

Furthermore, your name may be published on the Sound Negotiator platform as a way to be contacted by other users.

In addition, personal data may be used for the purpose of documenting the use of the Sound Negotiator app, since all activities are logged for IT security reasons. When a user logs into the portal, a unique token is created. The token enables the abovementioned logging of activities. Information that is created as a result of the use of the portal, including IP addresses, is stored on a server hosted by Sound Negotiator. This information will be used for user support and/or app functionalities and will never be made accessible to a third party.

All processing described under this section will be based on either GDPR Article 6 no. 1 letter b) (agreement) or letter f) (legitimate interest).

II. Processing of personal data when enrolling in a course, webinar or seminar

If you enrol in a course or a similar event via Sound Negotiator, we will process your general contact information. We will process this personal data for the purpose of offering you the course. Our basis for this processing is GDPR Article 6 no. 1 letter b) (agreement). Furthermore, we may share your personal data with third parties when we engage external speakers for the purpose of allowing them to prepare relevant content based on the categories of participants attending the course. We will only share data that is necessary for fulfilling the purpose of providing such relevant content. The basis for this processing is GDPR Article 6 no. 1 letter b) (agreement) and letter f) (legitimate interest).

III. Processing of personal data when we communicate directly with you

Sound Negotiator aims at providing our customers with updated and solid information on the different updates and other issues we deem to be relevant for the customers to enjoy the services we offer. From time to time we will therefore publish newsletters and other relevant information to individuals who have registered a user profile on the Sound Negotiator app.

We will only communicate marketing content to you if you have expressly given your consent to such communication. Consent is obtained when you register for the Sound Negotiator app and may be withdrawn at any time on your profile on the Sound Negotiator app. Our basis for this type of communication is GDPR Article 6 no. 1 letter a) (consent) and the Marketing Practices Act section 15 (1).

We will also send you newsletters and other content containing general information such as information on the product we provide you with. Such communication will not include any marketing material, and our basis for such communication is GDPR Article 6 no. 1 letter f (legitimate interest).

IV. Use of cookies on the Sound Negotiator website

Sound Negotiator doesn’t use cookies.

3. Sound Negotiator as data processor

Sound Negotiator will from time to time also hold the role as a data processor instead of data controller, e.g. where reviewers or experts give feedback to your negotiations. In such circumstances, the reviewer or expert who shares feedback will have the role as data controller of the personal data included in the documents, and these parties will therefore be responsible for ensuring that such processing of personal data takes place in compliance with GDPR.

4. With whom do we share your personal data?

We do not share personal data unless you explicitly request or consent to this. However, in certain cases, Sound Negotiator reserves the right to release information regarding registered users to public authorities if required by law.

5. How can a user gain access to personal data, and how can one rectify the data?

Each User is responsible for ensuring that the registered information is valid and correct, including making sure that only the necessary user information for using the app is registered. The User will be suspended or permanently blocked from the portal if false information is provided at registration, i.e. a false name or inaccurate contact information.

Users that are logged on to the Sound Negotiator app can control and update their own user profiles. It is also possible to add and delete information that is not mandatory. All user profiles that contain invalid information will be deleted without prior notification.

If a User has forgotten his/her password, a request can be submitted for generating a new code, via e-mail.

If the User demands access to registered information connected to the user’s own personal data, it will be logged in the Sound Negotiator app. The user can contact Sound Negotiator at any time for information on the logged information or other things relating to its personal data. Please see the contact information at the end of this document.

6. For how long will the personal data be stored, and how can a user delete his/her data?

The data is stored for as long as required by law, and Sound Negotiator will delete the data when it is no longer required for the purposes described under this privacy statement. This period is dependent on the type of information and why it is being stored: Further information on the type of data we store and how you can have this deleted can be retrieved by contacting Sound Negotiator. Please find the contact information at the end of this document.

7. Your rights

According to the personal data legislation, you as the registered party have the right to:

Request access to all personal data we process about you;
Request that the processed personal data is deleted or corrected;
Withdraw your consent if you have previously consented to processing personal data. Users who for instance do not wish to receive marketing material from Sound Negotiator can unsubscribe from receiving newsletters and other information by updating this on their user profile;
Retrieve your personal data that you previously have submitted to Sound Negotiator

8. Changes to the privacy statement

We may make minor changes to this privacy statement. The latest version can always be found on our website. You will be notified in case of significant changes.
